EBK decision:
Sulzer and Renova Do Not Form a Group under Swiss Takeover Law
Sulzer is pleased that the Swiss Federal Banking Commission (EBK) has now confirmed Sulzer’s own view, that the Company has not formed a group with Renova (or its subsidiaries) under Swiss takeover law.

The decision by the EBK confirms Sulzer’s interpretation that the establishment of the formal relationship between the company and its currently largest shareholder is not related to or aimed at “common control”.

The EBK confirms the Disclosure Office’s (OLS) recommendation that Sulzer and Renova (incl. its subsidiaries) are considered a group for notification purposes, meaning the holdings of Sulzer, Everest, Salve, and Renova need to be disclosed together when crossing statutory thresholds. Sulzer intends to comply and will not object against this decision.
